TNFC BOARD of DIRECTOR
Position Title: Board Director
Term: [Insert Term Length – e.g., 2 years, renewable]
Accountability: Accountable to the Members / Community of the Friendship Centre.
Purpose of the Role
The Board Director serves as a fiduciary of the Friendship Centre and contributes to the overall governance, strategic direction, and policy development of the organization. Directors act in accordance with the Ontario Not-for-Profit Corporations Act (ONCA) and uphold the mission, vision, and values of the Friendship Centre and the OFIFC Code of Ethics.
Core Responsibilities
- Governance & Strategic Oversight
- Participate in setting the vision, mission, and strategic priorities of the Centre.
- Develop, review, and approve policies.
- Ensure alignment with OFIFC membership expectations and agreements.
- Avoid involvement in day-to-day management (policy board model).
- Fiduciary Responsibility
- Exercise duty of care, loyalty, and obedience.
- Review and understand financial statements.
- Ensure appropriate internal controls are in place.
- Monitor risk areas, including legal and regulatory compliance.
- Executive Director Oversight
- Hire, evaluate, and support the Executive Director.
- Ensure the ED follows bylaws, policies, and strategic direction.
- Provide oversight, not operational direction.
- Legal & Compliance
Ensure compliance with:
- ONCA
- Employment Standards
- Occupational Health and Safety Act
- Human Rights Code
- Pay Equity
- AODA
- Tax remittances (CPP, EI, HST, etc.)
- Ambassador Role
- Represent the Friendship Centre positively in the community.
- Build partnerships grounded in trust and respect.
- Support community engagement and Indigenous resurgence.
Qualifications
- Commitment to Indigenous community wellness.
- Understanding of governance principles.
- Willingness to complete Board Orientation and ongoing training.
